By accessing or using FRBL (the "Site"), you agree to be bound by these Terms of Use ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not access or use the Site.

Acceptance of Terms

These Terms constitute a legally binding agreement between you and Reply Technologies (Pty) Ltd ("we," "us," or "our"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Description of Service

The Site provides a platform that enables users to:

  • Import digital files.
  • Arrange and lay out imported files within a design area.
  • Process the layout to generate G-code commands suitable for laser cutter machines.

User Accounts

  • You may be required to create an account to access certain features of the Site.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if your use of the Site violates these Terms.

User Content

  • You are solely responsible for the files you import, the layouts you create, and the resulting G-code you generate using the Site ("User Content").
  • You represent and warrant that you have all necessary rights and permissions to upload, use, and process your User Content on the Site.
  • By using the Site, you grant us a non-exclusive, worldwide, royalty-free license to access, process, and transmit your User Content as necessary to provide the services of the Site to you. This license is solely for the purpose of operating and improving the Site.
  • You agree not to upload or process any User Content that:
  • Is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Contains viruses, malware, or any other harmful software.
  • We reserve the right to remove or disable access to any User Content that violates these Terms or that we otherwise deem objectionable, without prior notice to you.

Intellectual Property

  • The Site and its original content, features, and functionality (including but not limited to software, design, text, graphics, logos, and trademarks) are and will remain the exclusive property of Reply Technologies (Pty) Ltd and its licensors.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose, subject to these Terms.
  • You may not reproduce, modify, distribute, display, perform, or create derivative works of any part of the Site without our express written consent.
  • Any feedback, comments, or suggestions you may provide regarding the Site are entirely voluntary, and we shall be free to use such feedback, comments, or suggestions as we see fit without any obligation to you.

Disclaimer of Warranties

  • THE SITE AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
  • WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE, INCLUDING BUT NOT LIMITED TO THE G-CODE GENERATED. YOU ACKNOWLEDGE THAT THE USE OF G-CODE GENERATED BY THE SITE IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ITS SUITABILITY AND SAFETY FOR YOUR LASER CUTTER MACHINE.
  • WE DISCLAIM ANY LIABILITY FOR ANY DAMAGE TO YOUR EQUIPMENT, MATERIALS, OR PERSONS RESULTING FROM THE USE OF THE G-CODE GENERATED BY THE SITE.

Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Reply Technologies (Pty) Ltd, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SITE.
  • IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
  • THE EXCLUSIONS AND LIMITATIONS OF LIABILITY SET FORTH ABOVE APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Indemnification

You agree to indemnify, defend, and hold harmless Reply Technologies (Pty) Ltd and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Site.
  • Your violation of these Terms.
  • Your User Content, including any claim that your User Content infringes the intellectual property rights or other rights of any third party.
  • Your use of any G-code generated by the Site.

Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
  • Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts located in South Africa.

Changes to These Terms

We reserve the right to modify or revise these Terms at any time, without prior notice to you. The updated Terms will be posted on the Site, and the "Last Updated" date will be revised. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates or changes.

Termination

We may terminate or suspend your access to the Site, without prior notice and without liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

Entire Agreement

These Terms constitute the entire agreement between you and Reply Technologies (Pty) Ltd regarding your use of the Site and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
